These Terms & Conditions govern your use of the Pantheraa website and the Services we provide. Please read them carefully.
1. Acceptance of terms
By accessing pantheraa.com or engaging Pantheraa for services, you agree to these Terms. If you do not agree, please do not use our website or services.
2. Definitions
- ‘Services’ means the web, marketing, SEO, automation, analytics, brand and related services Pantheraa provides.
- ‘Client’ means the individual or entity engaging Pantheraa.
- ‘Deliverables’ means work product provided to the Client under an engagement.
3. Services
Pantheraa provides services as described in a written proposal, statement of work or order (an ‘Engagement’). The specific scope, timelines and fees are set out in that Engagement, which forms part of these Terms.
4. Engagements, quotes and payment
Quotes are valid for the period stated. Fees, payment schedules and any ad or media spend are defined in the Engagement. Unless stated otherwise, invoices are due within the period specified, and ad/media spend is paid directly by the Client or billed at cost. Late payments may pause work.
5. Client responsibilities
The Client agrees to provide timely access, information, approvals and content needed for the Services, to hold the necessary rights to materials it supplies, and to ensure its use of the Deliverables complies with applicable law and platform policies.
6. Intellectual property
Upon full payment, the Client owns the final Deliverables created specifically for it, except for third-party materials and Pantheraa’s pre-existing tools, frameworks, and know-how, which Pantheraa retains and licenses to the Client as needed to use the Deliverables. Pantheraa may reference the engagement and non-confidential results in its portfolio unless agreed otherwise.
7. Confidentiality
Each party will protect the other’s confidential information and use it only to perform under the Engagement, except where disclosure is required by law.
8. Third-party services
Services may rely on third-party platforms (e.g. advertising, analytics, hosting, CRM). Pantheraa is not responsible for the availability, changes, policies or actions of those third parties.
9. Warranties and disclaimers
Pantheraa performs Services with reasonable skill and care. Except as expressly stated, Services and the website are provided ‘as is’ without warranties of any kind. We do not guarantee specific rankings, traffic, conversions or revenue, as outcomes depend on many factors outside our control.
10. Limitation of liability
To the maximum extent permitted by law, Pantheraa’s total liability arising out of or relating to the Services will not exceed the fees paid by the Client for the Services giving rise to the claim in the preceding three months. Neither party is liable for indirect, incidental, special or consequential damages.
11. Indemnification
The Client will indemnify Pantheraa against claims arising from the Client’s materials, its use of the Deliverables, or its breach of these Terms or applicable law.
12. Term and termination
Either party may terminate an Engagement as set out in that Engagement or with reasonable written notice. The Client will pay for Services performed up to termination. Sections that by their nature should survive (e.g. IP, confidentiality, liability) survive termination.
13. Governing law and disputes
These Terms are governed by the laws of India, without regard to conflict-of-laws rules. The parties will attempt to resolve disputes in good faith before pursuing formal proceedings in the courts of Gurugram, Haryana.
14. Changes to these terms
We may update these Terms from time to time. The current version is posted here with a revised ‘Last updated’ date. Continued use of our website or Services constitutes acceptance of the updated Terms.
